1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, websites, platforms, content, and related offerings provided by Northwave Stream Studio (“Northwave Stream Studio,” “we,” “us,” or “our”), located at 1201 W Hastings St, Vancouver, BC V6E 2E9, Canada.

By booking, accessing, purchasing, or using any of our services, you agree to be bound by these Terms and all applicable Canadian federal, provincial, and local laws and regulations. If you do not agree to these Terms, you must not use our services.

These Terms apply to all clients, guests, attendees, speakers, producers, contractors, and any other persons who access or use our services in connection with a booking or event.

Any proposal, quotation, statement of work, booking confirmation, or invoice issued by Northwave Stream Studio may supplement these Terms. If there is a conflict, the specific written agreement or booking confirmation will prevail to the extent of the conflict, unless otherwise required by law.

3. User Obligations and Responsibilities

You agree to provide accurate, current, and complete information when booking or using our services and to promptly update such information as needed.

You must not interfere with studio equipment, software, network systems, or third-party platforms used by Northwave Stream Studio. You must not attempt to access systems or data without authorization.

If your project requires permits, regulatory approvals, music licensing, or platform compliance, you are solely responsible for obtaining and maintaining them unless we expressly agree in writing to do so.

4. Payment Terms and Conditions

All fees are as set out in our quote, proposal, booking confirmation, or invoice. Unless otherwise stated in writing:

We may require a valid payment method on file and may charge it for approved fees, deposits, cancellation charges, or outstanding balances in accordance with applicable law and any separate authorization you provide.

Any dispute regarding an invoice must be raised in writing within ten (10) days of the invoice date. Undisputed amounts remain payable on time.

5. Cancellation and Refund Policy

Cancellation terms may vary depending on the nature of the service, staffing commitments, equipment reservations, and third-party costs. Unless a different written policy applies to your booking:

If a project is postponed rather than cancelled, we may, at our discretion, apply payments to a rescheduled date subject to availability and any applicable rescheduling fee.

We reserve the right to cancel or suspend services if you breach these Terms, fail to pay, or if conditions arise that make performance unsafe, unlawful, or impracticable.

6. Liability Limitations

To the maximum extent permitted by applicable Canadian law, Northwave Stream Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, business interruption, reputational harm, or loss of opportunity, arising out of or related to the use of our services.

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services, these Terms, or any booking shall not exceed the amount paid by you to Northwave Stream Studio for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or CAD $1,000, whichever is greater, unless a different limit is required by law.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all pre-existing intellectual property owned or licensed by Northwave Stream Studio, including studio methods, workflows, templates, software configurations, branding, and production tools, remains our property or the property of our licensors.

Subject to full payment of all applicable fees, and unless otherwise stated in a written agreement, you will receive a limited, non-exclusive, non-transferable license to use the final deliverables we expressly provide to you for your internal or promotional purposes consistent with the scope of the booking.

You represent and warrant that you have all rights necessary to provide any content, materials, or instructions supplied to us, and you grant Northwave Stream Studio a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, adapt, store, transmit, and process such materials solely as needed to perform the services.

We may, unless you object in writing in advance or a separate confidentiality agreement applies, use non-confidential excerpts, stills, or descriptions of completed work for portfolio, marketing, and promotional purposes, provided such use does not disclose confidential information or violate applicable law.

Any third-party intellectual property used in your production remains the property of its respective owner. You are solely responsible for obtaining permissions and licenses unless we expressly agree otherwise in writing.

8. Data Protection and Privacy

Northwave Stream Studio collects, uses, stores, and discloses personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation, as relevant.

We may collect personal information such as names, contact details, billing information, booking details, event recordings, chat logs, and technical metadata for the purposes of providing services, processing payments, communicating with you, maintaining records, improving operations, and complying with legal obligations.

Where we process personal information on your behalf, you are responsible for ensuring that you have obtained all required notices, consents, and authorizations from participants, attendees, speakers, and other individuals whose personal information may be collected, recorded, or transmitted during the provision of services.

We may use third-party service providers, including cloud storage, payment processors, streaming platforms, and editing tools, which may process data outside Canada. By using our services, you acknowledge that data may be transferred to and processed in other jurisdictions subject to their laws and the providers’ terms.

We implement commercially reasonable safeguards designed to protect personal information, but no system is completely secure. To the extent permitted by law, we are not liable for unauthorized access or disclosure caused by factors beyond our reasonable control.

9. Force Majeure

Northwave Stream Studio shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any booking shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Vancouver, British Columbia shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the services, except where applicable law requires otherwise.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed or limited to the minimum extent necessary so that the remaining provisions remain in full force and effect, to the maximum extent permitted by law.

No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Northwave Stream Studio. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
